Terms of Service

Please read these Terms and Conditions (“Terms”) carefully before using the Services. By accessing or using the Services (either through the Website or the App), You agree to be bound by these Terms. These Terms are a legally binding agreement between You and Us.
If You are under 18 years of age, please be sure to read these Terms and Conditions with Your parent or guardian and ask questions about things You do not understand. By accessing and/or using the Services, You represent that You have read and understood these Terms and unconditionally and irrevocably accept them, agreeing to be legally bound by them (as amended from time to time). If You do not agree to be bound by all of these Terms, do not access or use the Services.
1. WHO WE ARE AND HOW THESE TERMS AND CONDITIONS APPLY TO YOU
1.1. Legal Agreement and Services
These Terms establish a legal agreement between:
(A) WisdomEd Oy (a limited liability company organized under the laws of Finland, referred to as “The Company,” “We,” or “Us.”
(B) Any User of our Services.
The Services we provide include our website (the “Website”) and our mobile application (the “App”). The Website and the App, along with any optional paid subscriptions (the “Premium Features”), is collectively defined as the “Services”. The Services are provided solely on these Terms and on the condition that You accept and comply with them.
1.2. User Categories
Users (“You”) may include:
- 1.2.1. Users of the Free Basic Services (“Standard Users”).
- 1.2.2. Users who access the Premium Features through a subscription (“Subscription Users”).
- 1.2.3. End users of the Services and Premium Features authorised by a corporate or institutional customer (including schools and governmental bodies) (“Corporate and Institutional Users”).
1.3. Age Limitations
You confirm that You are at least 13 years old. Individuals under the age of majority in their jurisdiction of residence are not eligible to purchase a subscription.
1.4. Additional Terms
When using particular services or features, a separate guidelines document or payment terms (“Additional Terms”) may apply. In the event of a conflict between these Terms and any Additional Terms, the Additional Terms will prevail unless they expressly state otherwise.
1.5. Corporate and Institutional Users
Corporate and Institutional Users may receive different services from other Users. These Users shall not be required to purchase any orders and/or subscriptions, nor pay any fees, subject to the terms agreed between the relevant Corporate or Institutional Partner (Your employer or institution) and The Company.
2. ACCESS TO AND USE OF THE SERVICES
2.1. Our Services
The Services provides You with access to our language learning solution.
2.2. Access Methods
You may access the Services by downloading the Apps to Your device via the Apple App Store or the Google Play Store, or by accessing the Website, when available. A binding contract for the use of the Services is formed when the User accesses the Services and the Company, in turn, makes the Services available for the User.
2.3. Changes to Services
We reserve the right, in our sole discretion, to make any changes to the Services that we consider necessary or useful to maintain or enhance the quality, efficiency, or performance of the Services, or to comply with applicable law. The Company shall have the right to discontinue any part(s) of the Services at any time (including removing Premium Features), or to reduce or remove any functionality where The Company has a regulatory, commercial, or technical reason to do so.
3. USER ACCOUNTS AND PROGRESS TRACKING
3.1. Account Creation and Access
Users may use the Tutorial function without creating a user account (“User Account”). To use the other services, we require You to create a User Account. You must provide necessary information (“User Information”) to set up the account. All users with a User Account have access to basic free functions.
3.2. Account Responsibility
Once Your User Account is set up, You will be responsible and liable for its safety and security, and we have no responsibility or liability for any breach thereof. You shall protect Your password from access by third parties and keep it secret. You shall keep Your User Information accurate and up to date. You shall not share Your User Account, login information, or access to any subscription with any third party.
3.3. Progress Tracking and Reports
Users may track their progress on the Services. Reports (“Reports”) may be viewed for personal, non-commercial, and educational purposes. Users shall not use Reports for any purpose other than their own non-commercial or internal business purposes, modify them, remove proprietary notices, or share them with competing language-learning Services.
3.4. Account Deletion
You may delete Your User Account. Please note that You will not be able to access the Services’s Free Basic or paid Premium Features once Your User Account is deleted.
4. PREMIUM FEATURES AND PAYMENT
4.1. Obtaining Premium Features
Paid Premium Features may be accessed by:
- 4.1.1. Purchasing a subscription through the Apps (subject to app store terms),
- 4.1.2. Purchasing a subscription directly on the Websites (subject to our third-party payment processor terms), or
- 4.1.3. Being given automatic access as a Corporate and Institutional User.
4.2. Fees and Renewal (Recurring subscriptions)
The current fees (“Fees”) for Premium Services are set out on the Website and App and may change from time to time, with advance notice provided. Recurring subscriptions automatically renew at the end of each term (e.g., monthly, annual) unless cancelled. The Fees will be charged automatically to Your chosen payment method at the beginning of each renewal period.
4.3. Third-Party Purchases
If You purchase a subscription through the App, it is subject to the terms of sale of the relevant app store.
4.4. Refunds and Cancellation
To the extent not prohibited by applicable law, all Fees are non-refundable, except as expressly provided herein.
- 4.4.1. Recurring subscriptions: Cancellation will take effect at the end of the then-current billing period. You will have continued access for the remainder of the paid period.
- 4.4.2. Right to Withdraw (UK/EU Consumers): You have the right to withdraw from Your subscription within 14 days of subscribing and receive a refund, unless You begin using the Services within those 14 days.
4.5. Fixed-Term/Lifetime subscriptions
Fixed-term, one-time subscriptions do not automatically renew and generally cannot be cancelled and are not eligible for a refund other than as expressly provided. A lifetime subscription (“Lifetime Subscription”) grants You authorized use of the Services lasting until the earlier of Your death, termination of Your access, or discontinuation of the Services by The Company.
5. INTELLECTUAL PROPERTY RIGHTS AND LICENSING
5.1. Ownership of Materials
All materials and other content provided through or produced by the Services, and all intellectual property rights residing therein, are the exclusive property of The Company. You acknowledge that You only acquire a functional copy for authorized use and no ownership rights.
5.2. Text and Data Mining
Use of the Materials and Content for text and data mining is only permitted with the express and written consent of The Company and is otherwise prohibited. You agree that You will not carry out any data mining for AI purposes.
5.3. Trademarks
Trademarks, service marks, and trade names (the “Marks”) that appear on the Services are the property of The Company. You must not use any of the Marks without approval from the Company.
5.4. Authorized Use and Scope
Subject to compliance with these Terms, The Company grants You limited, non-exclusive, non-transferable, non-sublicensable, revocable authorization to access the Website and install and use the App exclusively for private, non-commercial, or educational purposes.
5.5. Software Restriction and Prohibited Uses
Your authorized use of our software is restricted to the use of the object code. You must not copy, modify, reverse engineer, or otherwise attempt to discover any source code.
6. USER CONTENT AND BEHAVIOUR
6.1. User Content
All information, data, text, photographs, graphics, or other materials uploaded or transmitted to the Services by Users are the sole responsibility of the person from whom such User Content originated.
6.2. Ownership and License Grant
You retain any ownership rights You have in Your User Content. However, by submitting User Content, You grant The Company an unrestricted, worldwide, irrevocable, perpetual, transferable, and royalty-free license to host, use, copy, distribute, display, perform, modify, translate, store, or otherwise exploit all or any portion of Your User Content.
6.3. Acceptable Use Policy
In order to use the Services, You must comply with the Acceptable Use Policy. You agree not to use the Services to upload, post, email, transmit, or otherwise make available any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or racially or ethnically objectionable.
7. WARRANTY, LIABILITY, AND INDEMNITY
7.1. Disclaimer of Warranties
The Services and any information provided therein are provided on an “as is” and “as available” basis with all faults and without any representation or warranty, whether express, implied, or statutory, to the fullest extent permitted by applicable law.
7.2. Limitation of Liability (General)
Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability which may not be excluded or limited under any applicable law.
7.3. Limitation of Liability (Monetary Cap)
Subject to the exclusions above, The Company’s total aggregate liability arising under or in connection with these Terms shall not exceed the fees paid, if any, by You to The Company for the Services during the 12 months prior to the initial claim.
7.4. Exclusion of Consequential Losses
Neither party will be liable to the other for loss of actual or anticipated profits, loss of revenue, loss of data, or any indirect, special, or consequential loss or damage.
7.5. Indemnity
You agree to defend, indemnify, and hold us harmless against any loss or damage (including regulatory fines or penalties), costs, and expenses which we may suffer or incur as a result of Your use of the Services or Your breach of these Terms.
8. SUSPENSION AND TERMINATION
8.1. Termination by User
Standard Users can stop using the Services at any time. Subscription Users must follow the relevant cancellation procedures as instructed through the Website or App.
8.2. Termination by The Company
The Company may terminate or suspend Your access to the Services immediately where necessary for improper use, breach of Terms, security risks, or non-payment.
9. THIRD-PARTY SERVICES AND COMPATIBILITY
9.1. Third-Party Services
The Services may contain links to certain third-party products, services, or software. Any use of such Third Party Services is governed solely by the contractual terms and privacy policies of the relevant third-party provider.
9.2. Compatibility
You are responsible for all hardware, software, network availability, and internet connectivity required to use the Services.
10. GOVERNING LAW AND DISPUTE RESOLUTION
10.1. Governing Law
The laws of Finland will apply to all disputes and the interpretation of these Terms.
10.2. Jurisdiction
The courts of Finland will have non-exclusive jurisdiction over any dispute arising from or related to Your use of the Services or these Terms.
11. MISCELLANEOUS
11.1. Changes to Terms
We may, in our sole discretion, make changes to these Terms. We will notify You of such changes each time before they take effect by providing the updated version on the Websites and Apps.
